Vrisan Trackings Franchise Partner Agreement

Section 2 — Grant of franchise rights
The Company grants a limited, non-exclusive, non-transferable, revocable right to operate as an authorised Vrisan Trackings Franchise Partner within the Allocated Territory, use the Brand, purchase GPS Devices at franchise pricing, access the Software Platforms (Cosmonavv/VT Pro), and promote GPS tracking solutions under the Vrisan Trackings brand.
Section 3 — Term and renewal
Initial term: 1 year. Renewable annually with 30 days' written notice. Company may decline renewal with 30 days' notice. No compensation for non-renewal.
Section 4 — Territory & open market
Allocated Territory is primary base — non-exclusive unless Annexure A states otherwise. Franchise Partner may sell ANYWHERE in India freely. First Registration in Admin Panel determines customer ownership. No geographic restrictions on sales. No physical office in another franchise's territory without approval.
Section 4.7.4 — Voluntary lead transfer
If Franchise-A transfers a lead to Franchise-B voluntarily: Franchise-B gets 70% of Sales Margin + all future renewals. Franchise-A gets 30% of Sales Margin only. Must be agreed and reported to Company BEFORE the sale is closed.
Section 4.6 — Mandatory service obligation
Every Franchise Partner MUST service ANY Vrisan Trackings customer who contacts them — including customers of other franchises. Cross-Franchise Service Fee is collected directly from the customer, not routed through Company.
Section 9 — Financial terms
New partners: full advance payment for 3 months. Established partners: up to 15 days credit at Company's discretion. Device prices as per Annexure B. GST extra on all prices.
Section 10 — Renewal revenue sharing
Original Franchise Partner (who first registered the customer) receives renewal commission for all customers — within or outside allocated territory. Structure per Annexure H. Paid monthly/quarterly.
Section 21 — Security deposit
Refundable security deposit required at onboarding. Non-interest bearing. Refunded within 45 days of exit after all obligations cleared. Can be used to recover dues, SIM misuse costs, brand damage costs.
Section 22 — Minimum inventory
Minimum stock of GPS Devices must be maintained at all times as specified by Company. Stock audits can be conducted with 48 hours' notice.
Section 31 — Non-compete
During term: no competing GPS tracking business. Post-termination: 12 months in territory. No solicitation of Vrisan customers or staff for 12 months after exit.
Section 30 — Confidentiality
Customer data, pricing, software systems, operational procedures — all confidential. Obligation survives 3 years post-termination.
Section 37 — Termination
Immediate: fraud, SIM misuse, data theft, competitor sales under brand. 30 days: curable breach. 60 days: convenience/restructuring. Franchise Partner can exit with 60 days' notice.
